I beleive it will be good as well, I am just trying to sharpen my own skills regarding the structure of this deal and how it will benefit VSPC, If explained it would answer alot of questions on this board and others and make people feel better about their investment.

By the way actually spoke to Dr. Jan and he said it is not an IPO.

Also in the S-1 which list 896,800 as the share count you refer to, that is only and estimate to establish the registration fee. there is not actual share count.

Also these two note are just below that estimated share count;

(1) In accordance with Rule 416(a), the Registrant is also registering an indeterminate number of additional ordinary shares that shall be issuable pursuant to Rule 416 to prevent dilution resulting from share splits, share dividends or similar transactions.

(2) The registration fee for securities to be offered by the Registrant is based on an estimate of the Proposed Maximum Aggregate Offering Price of the securities, and such estimate is solely for the purpose of calculating the registration fee pursuant to Rule 457(o).

So in all likelyhood the share will be hire as they will have float and the pps will be different as well.


There may even be a chance that they don't sell the float to the public and hold in reserve for when the need to raise capital as is sometime done when a company just lists:

Dr. J also mentioned to me that Chang may elect to take shares in place of cash in this upcoming closing deal. He said the ball was in his court. So this could also effect share count as well
