NOTE 6 – CUSTOMER DEPOSITS

During the first quarter of fiscal 2010, Mass Megawatts received $50,000 from a third party as a deposit on construction of a wind power plant. Construction on this project was started during late August 2009.

NOTE 7 – COMMON STOCK

During the three months ended July 31, 2009:

- Mass Megawatts issued 10,000 shares of common stock to consultants for their services. These shares were valued and recorded at fair value of $12,350.

- Mass Megawatts sold 273,848 shares of common stock for cash of $175,181.
