SHAREHOLDERS MEETING 09/20/09
My wife and I jointly owning over 500,000 shares of Gemini Explorations, Inc. (GMXS) arrived at the meeting place early since we are vitally interested in the success of the venture and as it turned out we the only shareholders present at the meeting. The meeting was promptly called to order by the attorney, William L. Macdonald, at the appointed time with only the three of us present.
Mr. MacDonald announced that the vote had gone approximately 60% against and 40% for the amendments. Our shares had been voted against the amendments, to protect the past contribution and current position of existing common shareholders, and were apparently sufficient to have made the vote go either way. At that time, we placed on the table and in record copies of alternate prepared proposals.
Michael Hill arrived approximately fifteen minutes later. He was directly questioned by us on the status of the announcements of the 09/26/09 $50,000 Tranche for the potential purchase of additional concessions at La Tapata and of the 04/21/09 $75,000 Tranche for the additional explorations of the geology and mineralogy of La Tapata. In response Michael Hill indicated that neither had been accomplished. It appears that those funds was utilized to cover general and administrative expenses of the corporation.
The attorney expressed the opinion that our proposal represented too significant a change to the original agenda to initiate motions for modification in this shareholders meeting. At that point the meeting appeared to be adjourned. Our proposal will be provided for your information in a subsequent message.
