They just took TBIRD by surprise. No company on the verge of takeover will want to look weak. Once TBIRD has time to digest the bid it will be fine.

Now that the offer is out and the TBIRD shareholders see, management will be under serious pressure.

This is quite common, the company I work for has done this a few times taking over other companies.
