You're right. I'm certain it is negotiable depending on what you bring to the table. I am guessing at a minimum that the offer is for preferred shares with dividend priority that are convertible at a later date.

It would be nice to know the details, but these usually aren't revealed until the 504 is completed. That's what always makes it such a risk.
