While researching TECO,

some documents I found through their SEC filings (10K & Q) cast some doubt and suspicions. And in order to satisfy myself, I posed a few questions to this board in hopes others would investigate, as I continued my research. I will merely point out my findings, and we can all discuss them here as adults.
In this link to the 10-K dated 3/31/09, the company is named Treaty Energy Corporation, and its address is listed as 310 North Willis, Suite 212, Abilene, Texas 79603. In this same document near the bottom, it lists TK Holdings, LLC as owning 59% of TECO’s stock. But here is the rub. How can Treaty Energy Corporation AND TK Holdings, LLC have the SAME EXACT ADDRESS? So I searched some more.

None of the TK Holdings, LLC I found on the site seemed “right” to me. Names, address, nothing. But what DID stick out, was a company called TRI KOON HOLDINGS, LLC. It could just as easily be called TK Holdings, LLC if it were abbreviated. So what’s my point?

The $64,000.00 question is. Who is TK Holdings, LLC, and why do they have the same address as Treaty Energy Corporation. Now if it turns out that someone is trying to be clever, and call the company mentioned in the 10-K TK Holdings, LLC, but it really IS TRI KOON HOLDINGS, LLC, that’s a major problem for me as an investor of this company. Why?

Most importantly, because TRI KOON HOLDINGS, LLC principals are listed as BLACKBURN, RONALD, ALONZO, CAROLYN, and ALONZO, PAUL. And these just happen to be the same people who not only filed for bankruptcy with a company called PBLS, but they also have lawsuits/claims against that company for just over 20 MILLION DOLLARS.

And just as important is THIS. Since TK Holdings, LLC owns 59% of Treaty Energy Corporation, it specifically says in the 10-Q dated 8/14/09 the following:

The operator of all of our oil producing properties is a related-party shareholder. Since we own a 100% working (but non-operating) interest, the shareholder-operator controls all decisions with respect to additional development, re-completions and lease operating expenses.

So what I’m trying to convey, suggest, figure is. If TK is Tri Koon, and THEY are THE shareholder who controls all decisions with respect to additional development, re-completions and lease operating expenses. How comfortable should we feel investing in this company?

And as a final note. I think it will be CRITCAL for TECO to clarify WHO is TK Holdings, LLC. PERIOD. If they want investors, they need to be honest and forthcoming with these details.
