SOX compliance for CPRK is not required and does not apply. Thus no independant audit is required.

Again...my point. PK compliance does not require SOX compliance nor does OTCBB quoting. Nor does the SEC require CPRK to be SOX compliant. The rules you quote do not apply.

You are correct in that to be considered SOX compliant it requires an independant auditor. Does working on audited financials and setting up your framework qualify as becoming SOX compliant? Even if you have not hired an independant auditor.....

You were still wrong about stating that PK compliance and OTCBB requires audited financials. (Can you admit it?)

The idea here is as follows;

PK and OTCBB are incubators for startup companies.

The idea behind the PK and the OTCBB markets is to get the companies stock out into the general public with enough information for investors to make informed decisions. If the information is deemed true and correct by the officers to the best of their ability it is acceptable. (GAAP)

This avenue was provided so that companies with little cash or staff could take it so they could generate the necessary income to grow and eventually become legitimate business concern plus work towards SOX compliance once they are fully SEC reporting companies. Not before....
