Strathmore Announces Private Placement

KELOWNA, BRITISH COLUMBIA--(CCNMatthews - Sept. 2, 2004) -
Strathmore Minerals Corp. ("the Company") is pleased to announce
a non-brokered private placement of 2,857,143 shares, with no
warrant, at a price of $0.70 a share for a total of $2,000,000.
Sprott Asset Management Inc. will be the sole participant in the
private placement. A finders fee will be payable to Fort House
Inc. The funds will be used for exploration and development of
the Company's existing mineral properties, for further
acquisitions of low cost mineral properties and for general
working capital purposes. The private placement is subject to
regulatory and TSX Venture Exchange approvals.

As a result of the closing of this private placement, and
together with previous purchases, Sprott Asset Management Inc.
will hold approximately 20 per cent of Strathmore's issued and
outstanding common shares. Sprott Asset Management Inc. will
acquire the shares for investment purposes only and not for the
purpose of influencing the control or direction of Strathmore,
however they will review their holdings from time to time and may
increase or decrease its position as future circumstances
dictate.
