So perhaps I should put up a post summarizing my views on the mis-deeds of present management? Or is it just the custom here not to hold management, past or present, accountable for what they do with the company that we own?
Well, anyway:
*Selling shares below par and then trying to put together a special SHM to reduce par without disclosing the real reason why that reduction was sought.
*Allowing conversions beyond the expiration date indicated in the certificate of designations and in SEC filings.
*Not complying with Delaware law regarding the holding of shareholder meetings.
*Making SEC filings that do not comply with the rules (here I am thinking of the statements in the filings regarding beneficial owners).
*In general, not dealing at arm's length with the company's largest creditor.
They work for us, for Pete's sake. And too many on this board just want to give them a pass.
Any legal analysis I post is not a formal legal opinion and may not be relied on by anyone for any purpose. If you want legal advice you can rely on, hire a lawyer.
