Good early morning all I had kept this post and felt it good enough to share on here again. To me this makes so much sense it is rediculous. The hardest part for me is reading back the last year with PR'S, UC himself stated it is all there! And to be truthful I cannot understand where all the shares came from because if you do the math in May and June O/S and float was hardly nothing. I think the figure we came up with was like 200 million. Hmmm someone help me out here, to get even 249 billion in the float at an average of 2 billion a day would take 124.5 days! Sorry no way because for weeks retail has been averaging over 90% buys. Sorry but someone will need to prove this to me how the O/S could be very high at all!!! Furthermore the more I read and dig I really think the now A/S is one big smoke screen for the naked shorting. I also really wonder how many naked short shares Casavant and or friends family whatever may hold! Billions, afew hundred billion?????

Hi All,

I just read the PR and have not had time to digest it. However, here is my quick take on the big question that seems to be spinning heads. That question is, does this mean the o/s is huge?

The reason for the question being asked is because of the 75 billion shares being traded for the 500,000-acre interest being acquired by CMKX.

So, are the 75 billion shares coming from the o/s which would make the o/s much higher than the 40 billion that many have assumed that are part of the new deal? There are several possibilities. Here is my quick take on this (again, just of the top-of-my-head).

(a) Best case, the 75 billion shares were all restricted shares PRIOR to today, thus they are not part of the present o/s.

(b) Next best case, of the 75 billion shares, 35 billion are coming from the CMKM treasury, thus, they were NOT part of the o/s, and, the remaining shares from Urban were free-trading shares, i.e., part of the float.

Here is an important part of the PR. I quote:

"In order to reduce the dilution to CMKM's shareholders as a result of this transaction, Urban Casavant, CMKM's CEO, has agreed to contribute 40 billion shares owned by him..."

This indicates that Urban's 40 billion shares were part of the o/s and NOT restricted (sic).

So, with Urban's shares not restricted shares, i.e., then the o/s was 40 billion + what additional shares are in the o/s held by the rest of the shareholders. What is that number? Your guess is as good as anyone.

However, Urban is RETIRING his 40 billion shares to the CMKM treasure, thus, taking them out of the o/s and thus reducing the o/s by 40 billion. This makes our shares MORE valuable because the o/s has been reduced by this move.

BOTTOM LINE:

(1) By Urban contributing 40 billion shares to the deal, he is reducing the o/s by 40 billion shares and that is GOOD news.

(2) The 75 billion shares are being restricted under Rule 144, and, thus, cannot be traded, i.e., becomes part of the float for 1 year. This is GOOD NEWS.

(3) Urban has put his stock where his mouth is, i.e., he is giving up stock and risking that he could possibly receive zero, nada, nothing from the venture, thus, bowing 40 billion of his own stock in the process.
NOTE: Urban just tossed $16,000,000 into the deal in terms of what his 40 billion shares of CMKX stock would bring at today's PPS. That is GOOD NEWS in that it shows he has confidence in what he is doing. I again quote from the PR - pay attention to the CAPS in the PR, which I have changed from lower-case to caps for emphases:

"In order to reduce the dilution to CMKM's shareholders as a result of this transaction, Urban Casavant, CMKM's CEO, has agreed to contribute 40 billion shares owned by himself in exchange for an agreement from CMKM stating that Casavant will be paid ONLY IF THE ACQUIRED PROPERTY YIELDS AN ACTUAL PROFIT."

In summary:

(1) O/S has been reduced thus providing more
shareholder value
(2) a new venture with 500,000 more acres of land
potentially containing diamonds and other minerals
(3) restricting Nevada Minerals, Inc. shares to a 1 year
Rule 144 hold, thus keeping these shares off the
market so as not to increase the o/s for 1 year
(4) Joint venturing with two other companies, thus,
spreading the cost of exploration between the three
companies
(5) D. Roger Glenn standing up and stating, and I quote
the PR: "I will be traveling to Saskatchewan with
the company's management to expand my
knowledge of the company and its business in order
to facilitate the company becoming fully reporting."
Thus, letting us know that Mr. Glenn is 100% there
for us.
(6) Mr. Glenn stating he is still on a path to "...facilitate
the company becoming fully reporting." A big yes in
that this is the way for CMKM to "get some respect"
and move to a better exchange; do I smell AMEX?
(7) AND what stood out in my mind the most, that Mr.
Casavant is NOT going to receive ANY dividends, and
I quote from the PR: “Due to Casavant's share
contribution to the property acquisition by CMKM
Occurring prior to the Aug. 20, 2004, date, Casavant
will not receive this or any subsequent dividend."
Thus providing the shareholders with MORE money
from the UCAD dividend.
(8) All this shows a well executed strategy by Mr.
Casavant and Mr. Glenn and company, i.e., we are
not playing with the run-of-the-mill, Pink Sheet
mining company...eh?
(9) Urban has money and/or financial backing to
continue with his plan.
(10) This is NOT a scam. This is NOT a play to make JUST
Urban wealthy. This is NOT a blue-sky idea or a half-
baked venture.

This my fellow shareholders and board members is the REAL THING.

TO DA MOON...
