Tough one to call, the stock may well be restricted, meaning that a shareholder might not be able to sell the stock for several months, in which time the stock may (or not) decline, the other problem is where is that stock traded? if it is in some other country in some obscure excahnge then how tradeable is it going to be, and finally what is the level of reporting on that stock? and is it regulated by a recognized authority?

So the stock unless it is a WELL known company trading in the US it is not the most satisfying payout, thus the inclination towards cash, or at least a greater portion of the offer.
