it was probably the original owner of the shell. They negotiated a price with the public company to move them into it so that it could trade publicly. They had to offer something to the company. ex. the ability to raise capital via institutions.
If that individual has a huge chunk and the ability to issue more shares, everyone is fighting an uphill battle with no weapons and the money goes to that individual.
JMO.....maybe I am wrong but that is up to you to decide.
