Morales delivers on his promise to 'refound Bolivia' -

BOLIVIA'S President Evo Morales has proclaimed the start of
"communitarian socialism" as he enacted a constitution that
empowers the country's indigenous majority and allows him
to seek re-election.

The move is the centrepiece of Mr Morales' promise to
"refound Bolivia", South America's poorest country,
and overturn a centuries-old political and social
order inherited from Spanish colonial times.

Mr Morales, the first indigenous president since Bolivia
declared independence from Spain in 1825, told supporters
that right-wing opposition groups had been trying to oust
and even kill him ever since he took office in 2006.

"Now I can say: you can take me out of the (government)
palace, you can kill me … mission accomplished for a
united Bolivia!" he told the enthusiastic crowd in
the working-class town of El Alto, a bastion of
Morales support, just outside the capital La Paz.

"Only the wisdom of our people, of our social forces have
let us identify and defeat external agents, defeat US
imperialism," he told the cheering crowd.

He noted that the new constitution bans foreign military
bases in Bolivia, and made reference to the expulsion
in September of US ambassador Philip Goldberg —
allegedly for organising a plot against him —
and later all agents of the US Drug
Enforcement Administration.

The sweeping constitutional changes allow 36 indigenous
communities and groups to win the right to territory,
language and their own "community" justice, and
enacts agrarian reform measures by limiting
the size of landholdings.

The new constitution also scraps the single-term limit
for the president, allowing Mr Morales to stand
for a second five-year term.

Guests at the signing ceremony included the head of
the Organisation of American States, Jose Miguel Insulza,
and indigenous Guatemalan activist Rigoberta Menchu,
a 1992 Nobel peace prize winner.
The constitution was approved by 61 per cent of voters
in a January 25 referendum.
It was rejected in the wealthy regions of Santa Cruz,
Tarija, Beni and Pando, hotbeds of anti-Morales activity.

N M Rothschild & Sons Limited,

Fortis Capital Corp.,
Nordkap Bank AG,

(collectively, the “ Commercial Bank Senior Lenders ”),
and (ii) that certain Senior Loan Agreement
(the “ CAF Senior Loan Agreement ”, and together
with the Commercial Bank Senior Loan Agreement,
the “ Senior Loan Facilities ”), dated as of
December 1, 2005,
with Corporación Andina de Fomento
(together with the Commercial Bank Senior Lenders,
the “ Senior Lenders ”);

B. The aggregate principal amount outstanding
under the Senior Loan Facilities is $225,000,000
(the “ Senior Loans ”), and ASML is the guarantor
of 65% of the Senior Loans pursuant to that certain
Completion Agreement, dated as of December 1, 2005
(as amended, the “ Completion Agreement ”), among itself
and Barclays Capital,
BNP Paribas and JPMorgan Chase Bank, N.A.,
and ASML has secured its obligations under the Completion
Agreement by pledging its equity interests in
Apex Luxembourg S.á r.l. (“ Apex Luxembourg ”)
and other assets as collateral pursuant to that certain
Sponsor and Pledge Agreement, dated as of
December 1, 2005 (as amended, the “ Sponsor Pledge
Agreement ”), among itself and JPMorgan Chase Bank, N.A.;

C. ASML, through certain of its subsidiaries,
Apex Luxembourg and Apex Silver Mines Sweden AB
(“ Apex Sweden ”, and together with Apex Luxembourg,
the “ Apex MSC Shareholders ”), indirectly owns 65% of
the equity interests in each of MSC,
Apex Silver Finance Ltd. (“ Apex Finance ”) and
Apex Metals Marketing GmbH (“ AMM ”);

D. Sumitomo directly owns 35% of the equity
interests in Apex Finance, indirectly owns 35% of the
equity interests in MSC through its subsidiary
SC Minerals Aktiebolag (“ SC
