no u dont. the 504d was for an agregated sale of 1 million dollars worth of stock in minimum of 10K blocks. read it again. also the restriction time on the stock varies with each state and there are only a couple that even allow it . texas being one of them and their resstriction time is 6 months but its not hard to get a legal opinion to clear it before that
