(2) Represents: (a) 54,452,940 shares of the Registrant’s common stock being registered for resale that were underlying convertible promissory notes issued to one of the selling shareholders named in this registration statement which notes have been converted by said selling shareholder. and (b) 86,150,000 shares of the Registrant’s common stock being registered for resale that are held by the remaining nine selling shareholders.
