I agree that we should contact Paul and our MOD MuchCompensation is the best way to do it if he is willing. I think that a few things should be made clear to him.

1. Spooz's stock is not behaving in a manner that most stockholders would traditionally anticipate. Some information (Bloomberg agreement and rumors of other agreements) suggests that the stock volumes and pps should be higher than today's values. Essentially, Spooz is currently an illiquid stock.

2. The introduction of KaiTrade appears to make the Business Processes more complex but it may make functionality more simplified. Shareholders would like a better understanding of the business reasons for the Spooz/KaiTrade relationship.

3. Communications between Paul and his shareholders have been essentially non-existent since the introduction of Big Apple. These are dynamic times for Spooz from the shareholder's point of view. Shareholders need and deserve a direct communication process on key issues with our CEO and Big Apple needs to be left out of it including responses to our key questions here.

4.We understand that there are customer sensitities and probably confidentiality agreements. We are not asking for details of the agreements but for aggregate numbers to the following questions:

Q1 What are the primary responsibilities of Spooz and what are the primary responsibilities of KaiTrade in the new structure? Why was KaiTrade created? What is Spooz not doing that they did 6 months ago?

Q2 What are the primary functions that Paul,Errol, and Darryl are currently performing for Spooz and for 141 Capital.

Q3 What is your current view for Spooz's financial performance in terms of revenues and sold seats for 2008.3,2008.4,2009.1, and total year 2009? We understand that some of these are projections and are aggregate numbers.

Again, many shareholders are concerned about the current market performance of Spooz and feel that a direct communication with Paul is in order. A timely response would be welcomed. Thank you for your consideration.
