MM, Seems to me the judge should take into consideration the following:

1. RS took 5-HMF as collateral to purchase BOD insurance in CONTEMPLATION of BK.
2. RS' relationship and probable future affiliation w/ the acquiring co.
3. The very, very ltd window for other bidders to express an interest. Curious as how at the commencement of Chap 11 filing, low and behold there is a bidder that will barely repay RS for his "loan" to buy BOD ins.
