it was also termed as novation of certain debt...

the missing pieces are what's going to happen to our $67M Note and what they intend to do with the Series B Preferred Shares which are convertible to common stock

unfortunately, the details of the buyout "Transaction" can't be disclosed til prior written approval as part of the MBO

no announcement
concerning the same shall be made either before or after Completion by
either party without the prior written approval of the other
