If I understand this well, the problem is that Mayhem can decide to sell TFNG to Mayhem because they control all the voting shares. ( while if we look at the global share structure of TFNG, Mayhem controls only 10% or so )

Isn't this a conflict of interest? Whoever decides to sell TFNG should look after all shareholders of TFNG. Now, they can just decide to sell this cheaply to theirselves, therby ignoring the rest of the shareholders.
