Yep if you hold more than 10% of the common you are under that obligation. Read the links I provided and google 10%+ ownership in a publicaly traded stock. It gets tricky at this level with this apparent low O/S. But actually to file is no biggy. It is free to file I believe....but I would do it just in case the SEC is watching.
