We don't know if 1 or many of these things were the center of GBDX becoming gray market: the fraud in the manner a takeover occured, the manner certain people came to be paid off by sib or GBDX or came to be in control of GBDX, hiding information about the stocks being sold to shareholders (SO CALLED GAG ORDERS BY THE TA), hiding information about revenues from IRS and shareholders, pretending to have sales (diamond shipments)that did not exist, outright lies about business model/business partners, outright lies in PR (ex. about who they are and who their board is or isnt, making up fake names...), misleading information about inventory or "shipment sales", or POSING as a company when they are just selling shares under a pretense.
