NutriPure and Jayger have signed a Letter of Intent for NutriPure to acquire controlling interest of Jayger, which will join wholly-owned subsidiaries XND Technologies, Inc. and Inka Grill Franchising Systems as the third leg of NutriPure’s triumvirate of operating companies in the healthy food / healthy water industries. Under the terms of the agreement, Jayger’s management team will remain intact and will be headed by Mr. Cohen and Mr. Jeff Dole, two second-generation industry veterans who have more than 60 years combined experience in import/export and exceptionally strong relationships in Japan, China, and other Asian countries.

Mr. Cohen started in the industry 30 years ago in his family’s business, DFC/Proficient Food Co., the sole distributing company for Denny’s USA, where he focused on product development and quality control and oversaw inventory management for 800 Denny’s restaurants on the west coast. Mr. Cohen later became part owner of DFC/Sakura Trading Company, a wholesale food distributor in Japan that was responsible for establishing Denny’s Japan restaurant division for the Ito-Yakado Group. Ito-Yakado is now the primary operating group of Seven and I Holdings, Inc. one of the world’s largest retailers and owner of Seven Elevens worldwide plus many other retail establishments throughout Asia. Over the years Mr. Cohen has continued to develop products for Seven and I’s Asian markets, including most recently a number of California wines including Delicato and Martin Ray. Mr. Cohen will oversee Jayger’s export and international operations.

Mr. Dole began his career working for his father, the legendary “Dick Dole” of Southland Corporation who was instrumental in initiating the first out of area licensee deal for Seven Eleven Japan, also with the Ito-Yakado Group. During that time the Doles forged a close relationship with the founding family of Ito-Yokado which continues to this day. Mr. Dole also maintains a close relationship with Seven Eleven U.S. and conducts business with other major U.S. based accounts including Valero Energy Corp., Murphy Oil, Whole Foods, and Circle K. For the past nine years, Mr. Dole has been managing “store-brand” labels for some of the largest retailers in both the C-Store and Grocery classes of trade in the U.S. and Mexico, including responsibility for package design, marketing, legal, and all logistical operations to take the product to the shelf. Mr. Dole will oversee Jayger’s domestic and import operations.
