I don't think we own any of Lariat.

Here's what we know, before taking into account the dividend they are promising that we will find out about later. This is based on the SC 14F-1 filing we saw one month ago with the beneficial ownership table:

George Rozakis (incl Rozakis Family LLC) 7.02 mm
William Rozakis (incl Rozy & Kavouria) 5.04 mm
Jerry Kaeni 8.67 mm
Igor Valyunin 7.27 mm
Alex Hatsis 2.00 mm
Regency (0.32 mm) 3.18 mm
JJC (0.56 mm) 3.74 mm
Lariat Energy (30.53 mm) 31.50 mm
American (Pilgrim & Pinedo) (11.23) 13.50 mm

TOTAL= 81.92 mm


BUT, 30 million shares will be retired by the Implantable execs leaving out the door with their vision technology stuff. Who are they? Here they are:

Alex Hatsis 2.00 mm
Kavouria & Rozy Ventures II (William Rozakis) 5.04 mm
Dr. George Rozakis (incl Rozakis Family LLC) 7.02 mm
Jerry Kaeni 8.67 mm
Igor Valyunin. 7.27 mm

TOTAL= 30.00 mm


Soooooo, 81.92 million shares minus the 30 million being retired leaves 51.92 million shares after the acquisition, but before we know what the dividend is. Pilgrim shareholders get 13.5 million shares as shown by the filing. That's about 26% ownership in IMVS (not counting the unknown dividend). It's about 1 for 63. If you own 1 million PGPM, you will have 15,873 shares of IMVS. At today's IMVS price of $1.01, 1 million shares of PGPM at 0.0009 that is worth $900 translates to 15,873 shares of IMVS worth $16031.73!!! Do you see what I'm saying? PGPM's parity price should be around 0.016 right now, but it's not budging from 0.0009. WHY? Because we still don't know if the company really is worth $52 million! It only took 69,000 shares in the past 3 days to drive IMVS up from 30 cents to 1.01. For this reason, you have to look at the runup in IMVS with a cautious eye.
