Wouldn't a RS require a proxy/vote?

...and if so, wouldn't it be best on conditions leading to a rise in value? It would be narrow minded of me to think that these considerations have not been thoroughly investigated, especially when a 1Bil. organization like YA can run financial models and probably has some of the best financial statisticians on their payroll.
