Item 1.01 Entry into a Material Definitive Agreement


On July 30, 2008, Adino’s wholly owned subsidiary, Intercontinental Fuels LLC (“IFL”), exercised its option to purchase the IFL fuel terminal from 17617 Aldine Westfield LLC. IFL has been leasing the terminal since March 2007. The purchase price for the terminal is $3.55 million.
