A Reverse Takeover involves the swapping of a majority of the shares of MONA for the shares of the Target Company.
That is why its a Reverse Takeover, the shareholders of the Target Company own the majority of MONA's shares once the deal is completed.
All-cash acquisitions do not result in a takeover by the Target companies shareholders.
This is poorly written.
