The CEO is reducing the volume of the issue contrary to the uneducated claims of dilution. This is seen as highly beneficial to the shareholders.

There are currently 14,780,915 outstanding shares on a fully diluted basis. Pro Forma numbers support an estimated $.33 per share on an annual basis.

DREXEL and SPONSOR will negotiate in good faith to determine the terms of a license agreement as to each item of DREXEL INTELLECTUAL PROPERTY for which SPONSOR has agreed to make payment for intellectual property expenses as provided for in Article 6. My note: A royalty agreement may be all that is needed to secure a sponsored research patent. Ex.: 1% Royalties
