There would be no purpose. OTCBB listing only requires a company to be current with their SEC filings.

The only good reason for doing a R/S would be for the reason that Sun Microsystems did recently: to get their PPS higher to meet investment criteria for various funds, as some funds won't invest in companies with a PPS below $5 or $10. I would question a small company's motives, even if were under the guise of Sun's reason.

A large-scale buy-back accomplishes the same thing, and it rewards shareholders.
