The PR did indicate that 12buzz was in negotiations to select a lead broker. New securities are to be issued on a new exchange, so one can argue that the term IPO is appropriate.

Assuming there is a major shareholder that is a principle in the company, I am sure there are deals that can be structured to guarantee the number of shares available at a fixed price.
