Private placement could also lead to a dilution later on with more drastic drop in PPS if the private placement shareholders are allowed to sell it in the open market after a certain time period. It can also be bad. It can also fix the PPS at a certain level with no major movement up as MMs would take private placement price level as the benchmark maximum PPS level.
