Why should I do that? Are you trying to tell me there is a difference between Delaware and Nevada law such that a company could not change the by-laws if incorporated in Delaware to provide for the same powers as are available in Nevada?
If that is your intent, post some direct quotes from the Delaware Code to validate.
I am not going to spend any time researching the Delaware Code but I suspect a company incorporated in Delaware could make the same decisions as NNRF has made in Neveda to protect against a takeover.
You seem to know some history about Eurotech. You should remember Eurotech mgt stated an intent in 02 to ask the shreholders for approval to re-domicle in Delaware from D.C. Since a shareholder meeting and vote on that matter never happened, they licensed the techs to Markland and HomComm and let Eurotech die a slow death since the AS could not be increased without shareholder approval which would have been presented simultaneously. Mgt wanted additional freedom that would have been provided in Delaware.
