License Agreement

For and in consideration of one dollar and other good and valuable consideration, lowroller does hereby grant a non-exclusive license to Elinemusic.com to use musical compositions it owns, controls, or has the right to own or control on what is generally known as the Internet. Details of this agreement are as follows:

1. This license is for a period of 60 months commencing on the date of execution of this agreement.

2. All product released to Elinemusic.com under this agreement will be made available for sale to the public to download at a price of $8.00 per album/or $1.00 per single song. Albums with more then 15 songs may be sold as a double album for $14.00.

3. Any merchandise lowroller and/or its artists makes available for sale (i.e. CD's cassettes, t-shirts, caps, etc.) on Elinemusic.com will be sold at a price set by record company and/or artists. Elinemusic.com reserves the right to refuse sale of any product we may deem inappropriate for out site. Elinemusic.com will take the order(s) for merchandise and forward the order(s) to the record company after deducting Elinemusic.com's share of revenue from the order(s). Record company will be responsible for filling the order. Record company therefore warrants that they will put forth their best efforts to fill all orders with due speed. Failure to do so may result in Elinemusic.com dropping record company's merchandise from the network. This will in NO WAY detract from or cancel any other part of this agreement.

4. All revenues from sales of product under this agreement will be split 50/50 between Elinemusic.com and the record company in this agreement. The record company will set and receive shipping and handling costs on all items other than downloads. Elinemusic.com will keep any applicable sales taxes. Itemized statements will be provided every 90 days to the record company with payment for sales (if any) of record company's product on Elinemusic.com

5. Elinemusic.com agrees to use its best efforts to promote the licensed product in order to produce the maximum revenue for both parties to this License Agreement.
