stereoscape.com Acquires Marx Toys - 'stereoscape Buys Toys for the Holidays'
FREEHOLD, N.J.--(BUSINESS WIRE)--Dec. 21, 2000--stereoscape.com, inc. (OTC-BB: SSCP - news) today announced the acquisition of Marx Toys, Inc. the brand that once was the largest toy manufacturer in the world. The terms of the transaction include the issuance of 15,000,000 shares of stereoscape common stock, in exchange for 100% of Marx, in addition to an option and consulting agreement with Jay Horowitz, Marx's former sole shareholder.

It is estimated that Marx Toys will significantly increase stereoscape's revenues with a positive impact to the bottom line.

``Our focus will be on renewing the Marx promise for delivering quality toys at affordable prices as well as supplying the demand for a line of Marx Collectibles,'' stated Mario Bassani, stereoscape's Chairman and Chief Executive Officer.

Marx will utilize several distribution channels such as major retailers, specialty chains, the Internet at www.marxtoys.com, a network of independent retailers currently being developed by telemarketing, and the collectibles market.

``Marx has approximately 1,000 molds with an estimated commercial value of $5 million and a replacement cost in excess of $15 million at today's prices,'' said Jay Horowitz.

Jay Horowitz, Marx's President and current sole shareholder, with over 30 years experience in all facets of the toy industry, will remain President of Marx Toys, Inc.
