Number of Outstanding Shares Calculation. Here is my best take on the number of shares based on the most recent filings available:

Moneyworx, Inc.: 40,000,000,000 restricted shares 1/29/08 filing
Alan Santini: 1,500,000,000 restricted shares 1/17/08 filing
Jack Chang: 1,500,000,000 restricted shares 1/29/08 filing
Leslie Smiedt: 1,500,000,000 restricted shares 1/29/08 filing
Peter James Bezzano: 500,000,000 restricted shares 1/29/08 filing

Total Restricted Shares Per Above Individual Filings: 45 Billion

Total Shares Indicated in 1/29/08 Filing:

53,400,850,057 shares of common stock issued and outstanding
51,020,961,077 of these shares are restricted common shares under Rule 144 (Remaining restricted shares not noted above appear to have been issued as payment for various professional fees).

Rule 144: Restricted securities must be held for 1 year and a filing must be made with SEC upon placing order to sell. See: http://www.sec.gov/investor/pubs/rule144.htm

Non-restricted common shares issued and outstanding as of 1/29/08 filing: 2,379,888,980 (These are the shares that we are all trading right now. Are there more shares out there? I don’t know. This is based on the 1/29/08 information.)

Again, this is my "as-is" best take based on available information. I am not a securities lawyer so do your own DD!
