The only value in the equity is the ability to borrow against it.

What they will do is use the equity in Atoll as collateral to borrow money using the preffered shares.

The preffered shares will be convertible to common as dollar amounts not just share amounts thus making the preffered shares dilution proof.

They will then sell common shares, do a reverse, sell common shares then sell Atoll and disribute the proceeds to the prefferd holders.
