(n) No Merger or Sale of Business. For so long as the Convertible Debenture is
outstanding, the Company hereby agrees that it will not merge or consolidate
with any person or entity, or sell, lease or otherwise dispose of its assets
other than in the ordinary course of business involving an aggregate
consideration of more than ten percent (10%) of the book value of its assets on
a consolidated basis in any 12 month period, or liquidate, dissolve,
recapitalize or reorganize.
