Dear Gentlemen:

I have attached each one of your emails to this email so that I respond to most of your questions in one email rather then 10 emails that are basically all the same.

I cannot understanfd why at this stage with so many pr's with regards to the ownership issue that anyone would keep questioning it.........it is totally ridiculous.

BKMP owns 20% of Blackout Communications - Blackout Communications owns 100% of TFN - I don't think I can be any clearer on this if I were to hang from the highest building - if anyone is unclear then read this 100 times until you do understand it.

Because BKMP is a 20% shareholder - it will get what Blackout Communications (BKCM) gives it - either by way of a distribution or share of distributed income - nothing else - or if there is a sale of BKCM then BKMP would get 20% of the proceeds, just because BKMP owns 20% does not mean it gets to share in the revnues and expenses assets and liabilities of BKCM - it doesn't work that way - and if any one of you do not understand that - then ask an ACCOUNTANT, they will.

No further buybacks right now.

TFN is working on getting out of Canada - if you would have read my last shareholder letter it stated the countries TFN is working on.........it takes time, the media world is changing very fast these days, what with Broadband and Mobile as well as IPTV there is a lot going on in this space and lots of people/companies in it - anyone in this space wants to try and make the right decisions.

No the company is not in any trouble - things are just fine.

I hope the divy works itself out, but will probably have to do a reverse split on them to try and get them trading.

I understand from the T/A that ETrade, Scottrade and Ameritrade are getting the certificates into individual names and will deliver this actual certificates in due course.

The T/A is not on a gag order - he gets way too many calls and is busy and does not have to answer any questions if he doesn't want to.

UFC is but just one MMA Promotion - we have 15 other MMA promotions from all over the world on the network and there are lots more out there - is UFC trying the WWE model - who knows but I don't think everyone will sell to them and competition is good for the soul.

The bottom line here is that you need to have patients as this is a long term ride and it will take time to do everything we want to, but TFN will succeed and the share price will hopefully reflect that success as long as the MM's don't kill us along the way.

Just think about this - what we would happen to the share price if we were to get into all these countries that we are working on - what would happen if some one being a major media company were to take a stake in the company - what would happen if we partnered with a new incredible technology that distributes our signal all over the globe .............................a lot of what ifs..........all plausible...................

You gentlemen might think we are just sitting around - but let me tell you no other digital network in Canada has gotten complete coverage right across the country in one year like we did...........now being mostly Americans you would really know or understand that - but it is a real accomplishment...........our programming line-up is second to none.........we have 15 MMA promotions - 15 boxing promotions and 10 wrestling promotions as well as movies, documentataries and news coverage - we have it all and then some - we have a dedicated team of professionals that love what they are doing..............this is a tough business and we are doing everything we can to make our Network the best in the business..........

Not everything is news worthy, doesn't mean nothing is going on in our business, but don't take no news as something is wrong or nothing is happening - a lot is going on and a lot is happening.........when a news worthy event happens we will report it.

There has been no changes in the o/s.

I know that you and I had a little issue a while ago. However, you are the CEO of BKMP and you have hundreds if not thousands of shareholders. I am a member of an investors discussion board, one that I think can produce useful information and discussions. However, that is only if there is something to discuss which at this point we don't have because BKMP has not issued any PR's about BKMP, but rather just about TFN.

You are losing the confidence of a lot of shareholders, some who have a sizeable amount of shares. Here is a list of questions that would aid all of us in understanding our investment. I would greatly appreciate it, as would many others, if you could answer these questions. If you want to use me to relay the information I would be more than happy to do so. I am a respected person on the boards. But I also think you should PR the info for everyone to view.

1) What are the relationships between BKMP, Blackout Communications(BCO), and TFN.

2) Does BCO have 100% interest in TFN, or something less? (a PR once said "owns" which implies 100%, whereas the TFN website say majority interest.

3) A PR once said that BKMP was working on increasing the ownership in BCO/TFN. Has anything happened in that regards?

4) How is our investment in TFN functioning? Meaning how does BCO and BKMP get results from successful operations on TFN.

5) Is there any plans for a buyback in the future?

6) How close is TFN to getting out of Canada?



Any information you are able to provide is greatly appreciated.

Hello Mr Winnick! I am one of your share holders and have became concerned,because the share price is steadily dropping.I will not post on any board anything you say if you are kind enough to return my email.Is the company in trouble?
How long before TFN gets a US carrier?And why such a huge stock divi 10,000 to 1?Why not just 1 to 1 something that really could be tradeable.I want keep talking because I know your busy and get tired of people asking so many questions.

Not an unusial comment by s/h's. Feeding into this attitude is the recent, substantive moves being made by UFC.
The fear is we will get dusted by them.

Hi Sandy, How are things with TFN? From the outside looking in, it looks as if TFN is making leaps and bounds with the growth. Sandy as an investor in BKMP, I have very high hopes that someday my investment will pay off. My concern is with the current share price, although it looks like a great buying opportunity there would be great concern for an investor to buy right now with the lack of communication from our CEO. I have invested just over 20 thousand dollars into BKMP and with the time passing and no word on buyback, share structure, ect. I’m becoming a bit worried. Sandy do we share holders have reason to be concerned? Will BKMP receive any profits from TFN? Will we gain more than 20% in TFN. Will there be anymore buyback? But I was wondering. If there is no intention of getting a website up SOON for Blackout Media, why not just take down that 'coming soon' thing - really, it's not classy to do that. To just leave something like that up for months and months.
Someone on the IHub board mentioned that you may get more shareholders with a good website. But as you know, investors like to do re-search, some do lots of re-search. And they aren't getting a good message with this.

I don't mean to complain, or criticize, (even though that's exactly what I am doing!). But I mean to offer advice from this side of the equation.

I have been invested in your company now for about 8 months.(BKMP) I am thinking on putting a little more of my money into this. My concern is the lack of news reports and information coming from you. I am a very small investor and know that you do not owe me anything what so ever. I would just like a little encouragement that this stock will not fall off the face the planet if I was to jump in with a little more money. I think that TFN is an incredible niche that if done right, will far exceed anyones expectations.I live in Maine and hope that you do being The Fight Network to the U.S. I have Directv, and have contacted them on numerous occasions. I have invested in shell companies before and got burned. I am not trying to cry on your shoulder, just would like to see a retirement fund that I would be happy with. Thank you for your time.

Good Morning Sandy,

We believe there are a lot of things going on behind the scene. However, they are mostly related to TFN and there seems to be a lot of frustration, confusion, and uncertainty about the relationship between BKMP, TFN, and BKMPP. Many have given up on this complete unknown and others are giving up every day.

We own a very large block (enough to affect the market for several days) of BKMP and of course a much larger position in BKMPP. With other money making opportunities facing us each day we are finding it difficult to remain invested here much longer without some indication of direction.

We will be discussing BKMP next Monday and I would like to hear from you why you feeling this is still a good investment. What info should we consider as we discuss our investment strategy focusing on keeping our money active and producing a good return.

We would also be interested in knowing the current status of the preferreds. It seems as though the brokers are on an indefinate hold and don't intend to trade them anytime soon, if ever.

Hi Sandy. We had that announcement of the 18 month extension on CD conversion about 6 months ago so there should still be about a year left before holders start converting again. How is it looking for BKMP to buy them out before the extension ends or convert to some other type of financing? I sure hope that an alternative can be worked out since I would hate to see those shares hit the market, especially if we are still sitting at depressed share prices when they begin to convert again.
