- doesn't engage in ventures that don't pay big $.
- performed rigorous and extensive DD before accepting the deal (so as not to risk their reputation); proving their is "tangible" big value
- would never risk their global, professional reputation, and ultimately their enterprise, on a "debacle"...way too much to lose
- doesn't need this deal; they reject more propositions than they take
