Going from a privately-held status to a public corporation is a real pain, no matter what the venue. A spin-off, since the parent is already publicly trading, I would suspect is actaully a tad easier.
I assume they will need to file as a minimum, a 10SB, illustrating financials, an S8 for share registration, and obviously a 15c211, to engage a Market Maker who has reviewed and confirmed the financials.
Obviously, they will also need to engage the DTC for share certification and dispersals, and a transfer agent. NASD, to arrange for a cusip # and symbol.
Probably more, that does not immediately come to mind. However, I am reminded that their PRs stipulated they wanted everything done in Q1CY08........Folks, its Q1 now!
