2004 proxy & new Stock Compensation Plan -

The 2004 Stock Compensation plan replaces all previous plans. The big difference that I see is that there are not fixed vesting periods established - instead it is done on a case-by-case basis by the Compensation Committee.

I don't know if I like that and may vote against the new plan. It seems to me that if the company really wants a hot shot consultant then they can grant immediately exercisable shares. I've seen too many hot shots flake out, but companies (like baseball team owners) make foolish offers.
