Share Structure 101
I thunk I thought I knew that...??? I"m not even a NEW
investor in this market (pink/bb) and I find myself confused by this
much more than a seasoned investor SHOULD be...
Is Form 144 the only form that has to be filed, or should I say,
is it the only way that shares can move from A/S to O/S ???
I'm more currious about the timing of this...is this the ONLY
way that the Autoraized Issuer can put NEW O/S shares on the
market ? (They HAVE to be REGISTERED BEFORE they are used ?)
I read recently that changes to the 144 rule will help us in that
it will restrict the way that Restricted shares are issued, but
after reading the change, I'm even more counfused about how to
figure this very important aspect of DELUTION.

PS...I mention AUTHORIZED ISSUER because, AS a seasoned investor,
I realize how foolish it is to even calcualte share structure
when you factor in ths SHO list, and the ability of the market
makers to CONTINUE to be able to DELUTE any pink/bb stock with
CONTERFIT shares without ANY real risk of prosicution...I'm only
trying to figure out the HONEST ones here...the criminals appear
to be EVERYwhere ! LOL
By AUTHORIZED I"m assumig that it's only the Board Members or
other members of the board, ie, CEO, CFO, who are authorized
by charter to do so...
AND, I'm assuming that they have to FILE that 144 BEFORE they
actually start to dump shares ? SOME have to get a vote from
the shareholders and some don't, BUT, I THINK ALL of them are
SUPPOSED to FILE BEFORE, but...here again...I'm unsure of the
legalities.
PSS...I realize that delution can happen other ways through the
Form 4's and the registration of restricted shares, ect, BUT,
those forms of delutions are all taking place OUT of the O/S.
I'm basically concerned about shares moving OUT of the A/S.
Sink youy teeth into THAT one why don't ya ?
