The way I see it....if TS already has 30% of Agri and has an employment contract to run the business for the next 5 years...and he is already running it...then SWVC would only need to purchase enough Agri stock to get over the 50% mark and it's all downhill from there.

SWVC is a holding company....holding companies don't have to own 100% of the stock in a business they are interested in to be profitable...just look at the positions Berkshire Hathaway has and their percent ownership of each stock...far from 100% positions. Lord knows, they are profitable as a holding company.

SWVC could have more than 50% but less than 100% of Agri and still hit a home run. With over 50% of the Agri stock and TS as the leader at the helm of both companies, it's a natural fit.

And, as for having enough $'s to get the additional 20% or so of Agri, let's do the math and see if all the recent financing, etc. has resulted in enough cash to make the deal go forward...I think so.

Lastly, I haven't seen any reference to it in the postings concerning today's 8-K, but doesn't it look like there are 4 debentures covered in the 8-K....each with a value of $1.5 million?

All IMO, of course.
