So, just thinking outloud here. This Alvarez guy picked up this shell in March of 04, increased the A/S, then issued himself a crapload of shares so he then has controlling interest. My guess is around 75M - 85M shares. It is still unknown if the preferred shares were ever converted or ever will.

So that explains how the O/S increased to 134M, and might also explain why some are dumping shares not knowing why the price went up. Still unknown is who incorporated Haley's, or what details make up the merger here.

Does that pretty much sum it all up?
