Answer

The combined business operations of Dr. Gas and Aero could be close to break even immediately without any significant increase in sales if we were to abandon our NASCAR relationship and other marketing efforts. However, with our desire to increase market share across multiple product lines, we anticipate continuing to be aggressive in the area of marketing. With that in mind, we expect to increase sales to the point where break even is attained by the end of the second quarter of 2008.

So what does that mean?

Q. How does Franchise Capital intend to pay for the acquisition of Dr. Gas?

A. The Dr. Gas acquisition will more than likely contain a cash component. We would structure any such cash component as a private placement through a reputable investment banker in order to minimize dilution and control the influx of any new stock into the market. Dilution is as relevant to me as it is to our shareholders, and we are going to do everything in our power to minimize it.
