1-Franchise Capital Corporation announced that Aero and Dr. Gas., Inc., a producer of racing performance exhaust systems for street and pro-race performance exhaust applications, are scheduled to appear in a joint exhibit at the 20th annual Performance Racing Industry (PRI) Trade Show, taking place December 6-8, 2007, in Orlando, Florida.

2- Franchise Capital has entered into a preliminary agreement to acquire Dr. Gas, Inc., which produces 90% of all exhaust systems used in NASCAR, Nextel Cup Series, Busch, Grand National, and Craftsman Truck Series.

3- The two companies also successfully exhibited together at the recent 2007 SEMA Show and reported strong interest in the piping and tubing products from automotive aftermarket product distributors, including those that currently distribute Aero products.

4 - This year's PRI Trade Show is expected to attract over 1,450 exhibitors and is ready to accommodate the racing entrepreneurs, buyers and other industry participants who utilize the PRI Trade Show to shop the hottest new racing products and technology.

5-The PRI Trade Show is the world's largest hardcore racing trade show, and one of the top 50 largest trade shows in North America. With more than 45,000 racing industry entrepreneurs in attendance from 45countries, the three-day PRI Trade Show is timed so that racing retailers, engine and car builders, wholesaler/distributors, professional race teams and other industry participants can shop the latest new product introductions and have them in inventory for the next racing season. 6- Representatives from Aero Exhaust and Dr. Gas, Inc. will staff the exhibit at the PRI Show, which is promoted as, "the three biggest business days in motorsports," by event organizers.

7- The estimated total value of the U.S. racing market is valued at $13.5 billion, according to a survey conducted by the British racing trade organization, Motorsport Industry Association. This figured oes not include OEM motorsport engineering investment.
