From: Bill MacKinnon <wtmgyes1@h...> Date: Thu Jan 10, 2002 8:23 pm Subject: Robert Putnam responds to my e-mail to both Fred Falk and him regarding......
David Evans' article......call it what you want......I replied to this response inquiring about the requirements to register the warrants:
Thank you for your e-mail, Bill. While we are very disappointed with the apparent negative bias and the timing of the release of Mr. Evans' article, we have noted through the years other individuals have written similar commentary. In response to the quotes in Mr. Evans' commentary, Mr. Falk stated, "I have always had and continue to have nothing but respect and praise for our shareholders and make it very clear in my interviews. However, I have no control over what the reporters end up writing." It is apparent that Mr. Evans either misunderstood or misquoted and took out of context statements made by Mr. Falk. As to the interest rate being charged on the 12% Promissory Secured Notes, Mr. Evans apparently is including the warrants issued in connection with this loan. What was pointed out to him and what he chose not to include in his commentary is that these warrants are not registered and have no real value until they are registered.
As we continue announcing products and agreements with OEM partners, customers and licensees, we believe that financial improvements and increased revenues at e.Digital will speak louder to Wall Street and individual investors than any single article or any individual's commentary or opinion.
Best regards,
Robert Putnam Senior Vice President
