bonesmccoy, All incorporated companies must have an address in the state of incorporation. Doesn't matter if they do business in that state or not, they must have a physical (No P. O. Boxes) address. The reason is so the Secretary of State (where the corporation is incorporated) can send (Serve) mail and notifications to the incorporated company, without having to track the company down around the world. Many companies that incorporate in states where they don't do business, BUT like the incorporation laws, have a STATUATORY AGENT. The agent is nothing more than a paid service that is authorized to receive and forward pertenant information to and from the corporation. Also the meeting delay is not good. The BOD's not attending, not good. By now a lot of people know the contents of the proxy and the price continues to go down. Not good! - Misterbull
