This is what is so terribly wrong with these S-8's and 504's. In reality these kind of filings should never ever exist, and the Sec keeping them in this form is disgraceful and should themselves be taken to court for ever having allowed them.

All of them own shares they created for themselves when they bought the company. To protect those shares a righteous Ceo would do nothing to negatively impact the shareprice of the company. Why?. Because one day they may want to sell some of those shares so they to can make money. In other words file a 144.

If they can sell shares from the treasury with a 504 and or S-8 where the sky is the limit, and create their own salary doing this and selling directly into the market,they never have to concern themselves with this. Nor do they have to sell any of the shares assigned to them, nor are they ever prompted to buy more less they are the reponsible parties for collapsing the stock in the first place, then buying back in at the bottom would make sense, and again this allows them to control the shareprice, and this is illegal........if the insiders can set the stage to take as much as they want anyway those shares really mean very little other than just giving them a larger percentage of ownership than anyone else, and this way they can keep that postion.
