Yeah, you said exactly what I did or at least tried to do. The "they" in your 3rd sentence could mean the new owners or the old the result is the same. But if the shares were never paid for the new co. had to have the existing owners do the voting. Its just like buying a car. If you finance it you can say you own it but you will never have the title until you pay in full the amount owed.
