Does anyone has any idea about this LOI about merger with ESP Resources, Inc. (ESP) of Houston, TX?

It stated that merger suppose to happen in January 2007. I saw all the published PR but couldn't find any reference. Was wondering if anyone else has any information. I am trying to find out how WRNW reacted to previous LOIs.

Looks like company is dealing with many companies with multi-million dollar revenues. So, question is whether WRNW is benefiting with those deals or not, if yes then where the money from those benefits are going?
